Partial Unconditional Lien Waiver

This waiver – the Unconditional Waiver and Release on Progress Payment – should be used when a progress payment on the project has been received. Further payments may be expected, but the specific partial payment discussed in the waiver has been received.

Because this is an “unconditional” waiver, it should only be used when payment has actually been received. If payment has not been received, if the check hasn’t yet cleared the bank, or if there is some other reason why payment might ultimately fail, this waiver should not be furnished. If this is the case, signing a “conditional” waiver is a safer option.

This waiver – the Conditional Waiver and Release on Progress Payment – should be used when a progress payment on the project is expected. There may be future expected payments on the project, but this waiver applies only to a specific, expected progress or partial payment.

Because this is a “conditional” waiver, it is ok if payment has not yet been received. The waiver is “conditional” on the receipt of the payment and will be invalid if payment is not ultimately received. If payment has already been received in full, an “unconditional” waiver may be more appropriate.

This waiver – the Unconditional Waiver and Release on Final Payment – should be used when the final payment on the project has been made and received by the party that furnished labor or materials. Signing this waiver indicates that payment has been received and no further payments are expected.

Because this is an “unconditional” waiver, it should only be used when payment has actually been received. If payment has not been received, if the check hasn’t yet cleared the bank, or if there is some other reason why payment might ultimately fail, this waiver should not be furnished. If this is the case, signing a “conditional” waiver is a safer option.

This waiver – the Conditional Waiver and Release on Final Payment – should be used when the final payment for a project is expected but has yet to be received. Signing this waiver signifies that no further payments are expected following the payment described in the waiver.

Because this is a “conditional” waiver, it is ok if payment has not yet been received. The waiver is “conditional” on the receipt of the payment and will be invalid if payment is not ultimately received. If payment has already been received in full, an “unconditional” waiver may be more appropriate.

Notice of Intent to Lien Form

This is not a required filing in Alabama, but any party may have a Notice of Intent to Lien delivered to any other party, advising them that if payment is not received a lien will be filed against the property. This notice allows the notified party ten (10) days to make payment. The filing of this document does not suspend or extend the lien period.

Notice to Owner Before Work Form

Anyone who furnishes material (material suppliers certainly, but ambiguous as to whether subcontractors who also supply materials must comply), and who are not contracting directly with the owner, should deliver a Notice to Owner prior to delivering any materials. Doing so entitles the party to a Full Price Lien rather than the usual Unpaid Balance Lien. Regardless of whether a Notice to Owner is or is not delivered, prior to filing a Statement of Lien (i.e. the mechanics lien), anyone who is not in direct contract with the owner must deliver a Notice of Unpaid Lien to the property owner.

Those who did not contract with the property owner directly are required to deliver a Notice of Unpaid Lien to the property owner before filing a mechanics lien. Delivery of this notice puts the owner on notice that a lien is claimed, and requires the owner to withhold funds sufficient to satisfy your claim. The earlier it is sent, the more likely it is to be received before the owner disburses those funds to the prime contractor, and the claimant loses any rights thereto.

A Statement of Lien may be filed by any party who has not been paid for construction work on a project in Alabama. If the party did not contract with the owner, before filing this document they must send a Notice of Unpaid Lien. Those who did contract with the owner, or material suppliers who sent preliminary notice before delivering supplies, will have a full price lien upon filing this document. Others will have an unpaid balance lien.

In some states, Stop Notices are available to contractors and suppliers as an alternative to (or in addition to) their Mechanic Lien Rights. A Stop Notice is delivered to the prime contractor or property owner, and demands that they withhold enough funds to pay your claim.
